OTT Service Terms and Conditions

1. Agreement Overview: These Terms and Conditions constitute a legal agreement between you, the user ("User" or "You"), and Travelxp ("We" or "Us"), comprising:

• Travelxp India Private Limited, a company incorporated under Indian law, with its registered office at 5th Floor, Tech Web Centre, Link Road, Oshiwara, Mumbai, Maharashtra 400102, India. Our VAT number is 27AADCT1456B1ZO.
• Travelxp Limited, a company incorporated under the laws of the United Kingdom, with its registered office at 2nd Floor, Warner House, Harrovian Business Village, Bessborough Road, Harrow, Middlesex HA1 3EX, United Kingdom.
• Travelxp LLC, a company incorporated under the laws of the State of Wyoming, United States, with its registered office at 30 N Gould St, Sheridan, WY 82801, USA.

By accessing or using the OTT Services provided by Travelxp, you agree to comply with these Terms, the Privacy Policy, and any other applicable guidelines. If you do not agree to these Terms, you are not permitted to use the Services.

2. Video Streaming Services: Travelxp offers an OTT service that provides Users with access to a curated library of videos, including travel documentaries, cultural insights, and related multimedia content. The Service is designed for personal use only and may include both free and subscription-based content.

3. Content Availability and Access:

• Geographic Restrictions: Content availability may vary by region due to licensing agreements. Travelxp reserves the right to restrict or modify access based on geographic location or device compatibility without prior notice.
• Modifications to Content: Travelxp may update, modify, or remove content at its discretion to align with strategic or licensing obligations.
• Device Compatibility: Access to Content may be dependent on the compatibility of the User’s device. Travelxp is not liable for restrictions or failures due to device limitations.

4. Downloading and Offline Viewing:

• Travelxp may permit Users to download certain content for offline viewing on compatible devices. Such content is strictly for personal, non-commercial use and may be subject to limitations, including expiration periods and storage restrictions.
• Restrictions: Users may not copy, redistribute, modify, or publicly display downloaded content. Travelxp reserves the right to revoke or alter download privileges at any time.

5. Third-Party Access and Partnerships:

• Sublicensed Platforms: Travelxp may provide access to its content through thirdparty platforms under sublicensing agreements. Users acknowledge that the use of such platforms is also subject to third-party terms, and Travelxp is not responsible for discrepancies or service interruptions on these platforms.
• Limitations: Travelxp is not liable for any variations in content availability or quality when accessed via third-party partners.

6. User Responsibilities and Account Security:

• Accurate Information: Users must provide accurate information during account registration and update any changes as needed.
• Account Security: Users are responsible for the confidentiality of their account credentials and any activities under their account. Unauthorized account use must be reported immediately to Travelxp.
• Age Restrictions: Services are intended for users who have reached the age of majority in their jurisdiction. Parental or legal guardian supervision is required for minors.

7. Prohibited Activities:

• Unauthorized Use: Users may not copy, modify, reproduce, or publicly display content without express permission from Travelxp.
• Security Violations: Altering or bypassing content protection mechanisms, introducing harmful code, or interfering with the Services' functionality is prohibited.
• Commercial Use: The Services are for personal, non-commercial use. Soliciting business, advertising, or unauthorized distribution of content is strictly forbidden.

8. Subscription and Payment Terms:

• Subscription Plans: Access to certain content may require a subscription, which auto-renews unless canceled. Users agree to pay the applicable fees and any associated taxes or transaction costs.
• Payment Processing: Payments are facilitated through third-party gateways. Travelxp is not responsible for delays or issues during payment processing. Users must ensure that payment details are accurate.
• Non-Refundable Fees: Subscription fees are non-refundable, and cancellation takes effect at the end of the current billing cycle.

9. Free Trials:

• Travelxp may offer free trial periods. If not canceled before the trial ends, the subscription will automatically convert to a paid plan. Users will be notified before trial expiration.

10. Termination of Services:

• Right to Terminate: Travelxp reserves the right to suspend or terminate user accounts for any violation of these Terms or applicable laws, without prior notice or liability.
• Consequences of Termination: Upon termination, access to the Services will cease, and any fees paid are non-refundable.

11. Limitation of Liability:

• No Warranty: Travelxp provides the Services "as is," without any express or implied warranties. Travelxp does not guarantee uninterrupted or error-free service.
• Liability Cap: Travelxp's total liability for damages shall not exceed INR 1,000. Certain jurisdictions may not allow these limitations, and they shall apply to the extent permitted by law.

12. Indemnification: Users agree to indemnify and hold harmless Travelxp, its affiliates, and partners from claims, losses, or liabilities arising from:

• Violation of these Terms.
• Unauthorized account use.
• Breach of third-party rights, including intellectual property.

13. Governing Law and Exclusive Jurisdiction: These Terms are governed by the laws of India. Any disputes arising from the use of the Services shall be subject to the exclusive jurisdiction of the courts in Mumbai, India. Users agree that any legal proceedings brought against Travelxp shall be filed only in the courts of Mumbai, India.

14. Changes to Terms: Travelxp reserves the right to amend these Terms at any time. Users are advised to review the Terms periodically. Continued use of the service implies acceptance of revised terms.

15. Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between the User and Travelxp, superseding any prior agreements.

16. Survival: Clauses relating to indemnification, limitation of liability, and exclusive jurisdiction will survive the termination of these Terms.

17. User Acknowledgement: By using Travelxp’s OTT Services, Users acknowledge that they have read, understood, and agree to these Terms and Conditions
